Creator Participation Agreement
Governing the relationship between creators and the EDEN platform.
Parties:
Company: EDEN [The Kingdom Country Entertainment Company Ltd]
Creator: The registered user activating a creator channel on the EDEN platform.

1. Purpose
This Creator Participation Agreement (“Agreement”) governs the Creator’s participation on the EDEN platform.Nothing in this Agreement guarantees revenue or continued platform placement.
2. Independent Contractor Status
2.1 Creator is an independent contractor.
2.2 Nothing herein creates employment, partnership, or joint venture.
2.3 Creator retains full ownership of their intellectual property subject to the license granted herein.
3. Content License
3.1 Grant of License: Creator grants EDEN a non-exclusive (or exclusive, if separately agreed in writing), worldwide, sublicensable, royalty-bearing license to host, stream, promote, distribute, and display Creator’s submitted content on the EDEN platform.
3.2 Term: License remains valid for the duration of Creator’s active participation unless terminated pursuant to this Agreement.
3.3 Removal Restrictions: Content removal is subject to platform policies and individual partnership agreements.
4. Creator Obligations & Mandatory Copyright Warranty
Creator agrees to provide accurate ownership representations, ensure content does not infringe third-party rights, maintain agreed upload frequency, and act in good faith in promoting the platform.
4.1 Strict Copyright Certification: Creator explicitly warrants, represents, and certifies under penalty of perjury that they are either the sole legal copyright owner of all masters, audiovisual assets, artwork, and music uploaded to their channel, or hold valid, express written commercial licenses authorizing digital distribution on EDEN.
4.2 Repeat Infringer & Takedown Policy: In compliance with the DMCA, EDEN maintains a designated Copyright Agent (copyright@myedentv.com). Any content subject to a verified DMCA dispute will be instantly quarantined. Accumulating three (3) copyright infringement strikes results in immediate, permanent channel termination and forfeiture of pending wallet payouts in escrow.
5. Platform Standards
Creator agrees content shall not violate applicable laws, promote harmful conduct, or contain material inconsistent with EDEN’s faith-centered values. The Company retains final discretion regarding platform suitability.
7. Revenue Participation
Revenue sharing terms shall be governed by a separate monetization schedule. The Company makes no guarantee of revenue generation.
8. Exclusivity
If an exclusivity addendum is executed, Creator agrees not to distribute specified content on competing faith-based platforms.
9. Confidentiality
Creator agrees to maintain confidentiality regarding internal platform metrics and strategic roadmaps. This obligation survives termination.
10. Term & Termination
10.1 Either Party may terminate with 30 days written notice.
10.2 Immediate termination may occur for material breach, fraudulent representation, or conduct damaging to the platform.
10.3 Upon termination, license rights cease.
14. Representations & Warranties
Creator represents they own all necessary rights and no litigation is pending regarding submitted content.
15. Indemnification
Creator agrees to indemnify the Company from claims arising from copyright infringement or breach of warranties.
16. Governing Law
This Agreement shall be governed by the laws of the Federal Republic of Nigeria. Disputes shall be resolved through mediation at the Lagos Multi-door Courthouse.
17. Entire Agreement
This Agreement constitutes the entire agreement between the Parties.
